This End User License Agreement (this "Agreement") is a legal agreement between you and My Life Practice, LLC, a Georgia limited liability company ("we," "us," "our"), and governs your use of the MyLifePractice application, including all updates, and any documentation we provide with it (together, the "Application").
By downloading, installing, or using the Application, you agree to this Agreement. If you do not agree, do not download, install, or use the Application.
Section 20 asks you to contact us before bringing a claim, requires most disputes to be resolved by individual arbitration, and waives your right to participate in a class action. You may opt out of arbitration within thirty days. Please read it.
This Agreement is between you and us only, and not with Apple Inc. Additional terms that Apple requires appear in Appendix A and form part of this Agreement.
1.1 We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Application on Apple-branded devices that you own or control, as permitted by the Usage Rules in the App Store Terms of Service, and subject to this Agreement. The Application may also be accessed by other accounts associated with you through Family Sharing or volume purchasing, where we make that available.
1.2 The Application is licensed to you, not sold. Your subscription tier determines what the Application does and therefore what this license permits you to use. Section 5 describes tiers.
You agree not to: copy, modify, or create derivative works of the Application, except as this Agreement allows; distribute, sell, rent, lease, sublicense, or otherwise transfer the Application, or make it available to anyone else as a service; reverse engineer, decompile, or disassemble the Application, or attempt to derive its source code, except to the extent applicable law expressly permits despite this restriction; extract, copy, or redistribute the models, prompts, prompt catalogs, or other components of the Application; remove or obscure any proprietary notice; use the Application in violation of applicable law, or to process information you have no right to process; circumvent or interfere with any security, entitlement, or usage-limiting measure; or use automated means to access the Application in a way that imposes an unreasonable load.
We and our licensors own the Application and all intellectual property rights in it, including its software, models, prompts, designs, and trademarks. We reserve all rights not expressly granted to you. Nothing in this Agreement transfers ownership of the Application to you. Section 8 governs the content you create, which remains yours.
The Application includes software from third parties, some of it open source, licensed under its own terms. Those terms govern that software, and where they grant you rights broader than this Agreement, those broader rights apply to that component. A current list of these components and their licenses is available in the Application under About. Where a third-party license requires it, we make the applicable notices available to you.
5.1 The Application is offered on a free tier and on paid subscription tiers. Features, AI capabilities, and connected-account limits differ by tier. Current tiers and their contents are described in the Application and at mylifepractice.com.
5.2 Subscriptions are sold and billed through the App Store and are governed by the App Store Terms of Service. Payment, renewal, cancellation, and refunds are handled by Apple, not by us. We cannot cancel your subscription for you.
5.3 We may change the composition of tiers on notice. Such changes will not reduce what you have already paid for during a term you have paid for.
6.1 Not professional advice. The Application produces summaries, suggestions, priorities, and guidance using artificial intelligence, including outputs presented through named personas. This output is informational only. It is not professional advice, and you should not treat it as such. Without limitation, nothing the Application produces is medical, psychological, legal, financial, investment, tax, or employment advice, and no persona in the Application is a licensed practitioner of any profession.
6.2 It can be wrong. AI output can be inaccurate, incomplete, or misleading, including when it is expressed confidently. You are responsible for evaluating it before acting on it, and for any decision you make. Where a decision matters, consult a qualified professional.
6.3 Output. As between you and us, you may use the output the Application generates for you, for your own purposes, and we claim no ownership of it. The Application is not tailored to you. Given the same inputs, it produces the same output for any user. Output is therefore not unique to you, and we make no claim that it is protectable by you.
6.4 Nothing learns from you. We do not use the content you bring into or create in the Application to train artificial intelligence models, whether ours or anyone else's. The Application's prompts do not change or evolve through your use of it, and no model is adapted, tuned, or personalized to you or to your data. The Privacy Policy describes what is processed, where, and for how long.
7.1 On some tiers, the Application's assistant runs entirely on your device rather than in the cloud. This requires downloading a language model and a device with sufficient memory to run it. The current download size and the current device requirement are stated in the Application before you purchase a tier that uses it, and at mylifepractice.com.
7.2 On a device that cannot carry the model, the Application provides rule-based suggestions instead of AI-generated ones, and tells you when it is doing so.
7.3 Device requirements may change as the model changes. We will state the current requirement, and a change will not entitle us to withhold a refund you would otherwise be due under the App Store Terms of Service.
8.1 You retain ownership of the content you create in the Application. You grant us only the license needed to operate the Application for you: to store, process, and transmit your content for the purpose of providing the features you have enabled. This license ends when your content is deleted, except for copies retained as the Privacy Policy describes.
8.2 The Application can connect to your calendars, contacts, and meeting records, which routinely contain information about other people who are not parties to this Agreement. You are responsible for having whatever rights, consents, or lawful basis you need to bring that information into the Application, and for using it consistently with your obligations to those people and to any employer or client whose systems you connect.
9.1 Content you bring into the Application, including calendar entries, documents, meeting notes, and material from connected accounts, may be included in prompts sent to an AI model. That content can contain instructions, whether placed there deliberately or by someone else, that attempt to influence how the model behaves. This is commonly called prompt injection.
9.2 We take reasonable measures to detect and neutralize such instructions, and we describe those measures in the Privacy Policy and Terms of Service. We cannot guarantee that every such attempt will be detected.
9.3 You agree not to deliberately introduce content designed to manipulate the Application's AI behavior, to circumvent its safety measures, or to cause it to produce output that violates this Agreement.
The Privacy Policy describes what information the Application collects, how it is used, and how long it is kept, and it is incorporated into this Agreement by reference. On tiers where AI processing is performed in the cloud, content you submit for processing leaves your device; the Privacy Policy describes what is sent and what is retained. Where this Agreement and the Privacy Policy describe the same subject, the Privacy Policy governs.
11.1 The Application can connect to services you already use, including calendar, email, and identity providers. Those services are operated by third parties, not by us, under their own terms and privacy policies, and you must comply with those terms when you use them through the Application.
11.2 We do not control those services and are not responsible for their availability, accuracy, or content. A provider may change or withdraw access at any time, and a feature that depends on it may stop working as a result.
We may update the Application, and may add, change, or withdraw features. Some features depend on third-party services and on your device's connectivity, and we do not warrant uninterrupted availability. Where we withdraw a feature that is material to a paid tier, we will give reasonable notice.
13.1 This Agreement takes effect when you first use the Application and continues until terminated.
13.2 You may terminate it at any time by ceasing all use and deleting all copies of the Application. Deleting the Application does not cancel a subscription; cancellation is handled through the App Store.
13.3 This Agreement terminates automatically if you fail to comply with any of its terms. We may also suspend or terminate your access where we reasonably believe it is necessary to comply with law or to protect the Application or other users.
13.4 On termination, the license in section 1 ends and you must stop using the Application and delete all copies. Sections 3, 6, 8, 10, 14, 15, 16, 17, 19, 20, and 21, and the corresponding provisions of Appendix A, survive.
13.5 Telling us you have stopped. You may write to us at the address in Appendix A, item 8, to tell us that you no longer use the Application. We will record the date we receive that notice, and that date is when the period for keeping your legal correspondence starts running, as the Privacy Policy explains.
Telling us does not end this Agreement's application to any later use. If you use the Application again after giving that notice, that use is governed by this Agreement as it then stands, and the period runs again from then.
14.1 Except as expressly stated in this Agreement, and to the maximum extent permitted by applicable law, the Application is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. We disclaim all warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.
14.2 We do not warrant that the Application will meet your requirements, that its operation will be uninterrupted or error-free, or that any output it produces, including AI-generated output, will be accurate, complete, or suitable for any purpose.
15.1 To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to this Agreement or the Application, whether in contract, tort, or otherwise, and whether or not we were advised of the possibility of such damages.
15.2 To the maximum extent permitted by applicable law, and other than as may be required by applicable law in cases involving personal injury, our total liability to you for all damages arising out of or related to this Agreement or the Application will not exceed the amounts you actually paid for the Application in the twelve months preceding the event giving rise to the claim. This limitation applies even if a remedy stated in this Agreement fails of its essential purpose.
15.3 Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so some of the above may not apply to you, and you may have other rights that vary by jurisdiction.
You agree to indemnify and hold us harmless from any third-party claim, and any resulting loss, liability, damage, or reasonable cost, arising out of your misuse of the Application, your breach of this Agreement, your violation of applicable law, or information about another person that you brought into the Application without the rights or consents section 8.2 requires. We will notify you promptly of any such claim, allow you to control the defense with counsel of your choosing, and cooperate reasonably at your expense. You may not settle a claim in a way that imposes an obligation on us without our written consent. This section does not apply to a claim arising from our own breach or wrongdoing.
You may not use or export the Application except as authorized by United States law and the laws of the jurisdiction where it was obtained. In particular, the Application may not be exported into any country subject to a United States embargo, or to anyone on a United States Government list of prohibited or restricted parties. By using the Application you represent that you are not located in such a country and are not on such a list.
The Application and its documentation are "Commercial Items," as that term is defined at 48 C.F.R. 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, United States Government end users acquire them only with the rights set out in this Agreement.
This Agreement is governed by the laws of the State of Georgia, without regard to its conflict of law provisions. For any dispute not subject to arbitration under section 20, the exclusive venue is the courts located in Henry County, Georgia, and you and we consent to the personal jurisdiction of those courts.
20.1 Talk to us first. Before starting an arbitration or a lawsuit, you agree to tell us about the problem and give us a chance to fix it. Send us a written notice at the postal address or email address in Appendix A, item 8, describing what happened and what you would like us to do. We will work with you in good faith to resolve it within 30 days of receiving that notice.
We agree to do the same before bringing a claim against you. Because the details you enter stay on your device and we do not receive them, we will give you that notice in the Application.
Neither of us may begin an arbitration or a lawsuit until those 30 days have passed. Two things are outside this requirement: either of us may ask a court for emergency relief at any time, and either of us may file in small claims court under 20.6. Any deadline that applies to a claim under the law is paused while this process is underway, so using it costs you nothing.
20.2 Agreement to arbitrate. After the process in 20.1, you and we agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Application will be resolved by binding individual arbitration rather than in court, except as provided in 20.6 and 20.7. The Federal Arbitration Act governs the interpretation and enforcement of this section.
20.3 Procedure. The arbitration will be conducted by a single arbitrator before a nationally recognized arbitration administrator that you and we agree upon, under that administrator's rules for consumer disputes. If you and we have not agreed on an administrator within thirty days after either of us gives notice of a dispute, either of us may ask a court of competent jurisdiction to appoint the arbitrator under Section 5 of the Federal Arbitration Act.
At your election, the arbitration may be conducted by telephone, by video, or on written submissions rather than in person, and we expect most matters to be resolved that way.
Where an in-person hearing is held, it will take place in the nearest major city to your residence that is served by a commercial airport, or in Henry County, Georgia, at your election. Neither of us should have to travel to a place that is difficult to reach in order to be heard. This provision protects you from having to come to us, and protects us from having to appear somewhere remote, on the same terms.
The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
20.4 Costs. We will pay the filing, administration, and arbitrator fees for any arbitration you commence, to the extent those fees exceed what it would cost you to file the same claim in the courts identified in section 19. Except as provided in 20.5, each of us otherwise bears our own attorneys' fees and expenses, unless a statute or the arbitrator's award provides otherwise.
20.5 Frivolous claims and defenses. If the arbitrator determines that a claim or a defense was frivolous, or was asserted for an improper purpose such as harassment or needless delay, measured by the standards of Rule 11(b) of the Federal Rules of Civil Procedure, the arbitrator may award the other party the reasonable attorneys' fees and costs it incurred because of that claim or defense, and may order the party that asserted it to reimburse any arbitration fees advanced on its behalf under 20.4. This provision applies equally to you and to us.
20.6 Small claims. Either you or we may bring an individual claim in small claims court instead of arbitration, provided the claim qualifies and remains in that court on an individual basis.
20.7 Your right to opt out. You may opt out of the arbitration requirement in 20.2 by sending written notice to the address in Appendix A, item 8, within thirty days of first accepting this Agreement, stating your name and that you are opting out of arbitration.
If you opt out, we will record that decision and honor it, both for this Agreement and for any later version of it. Accepting a future version of this Agreement will not put you back into arbitration. We keep a record of the opt-out notices we receive so that we can honor them, and the Privacy Policy explains what we keep and for how long.
Opting out affects nothing else in this Agreement, and we will not treat it as a reason to refuse you service.
20.8 Class action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding.
20.9 Severability of this section. If the class action waiver in 20.8 is held unenforceable as to a particular claim, that claim will be severed from arbitration and proceed in the courts identified in section 19, and the remainder of this section 20 will continue to apply to all other claims.
21.1 Entire agreement and order of precedence. This Agreement, including Appendix A, together with the Privacy Policy and the Terms of Service, is the entire agreement between you and us regarding the Application, and it replaces any earlier understanding on the same subjects. If these documents conflict: this Agreement governs your license to use the Application and the resolution of disputes under sections 19 and 20; the Privacy Policy governs how we collect, use, and share information, and controls on those subjects even where another document describes them; and the Terms of Service govern everything else.
21.2 Changes to this Agreement. We may update this Agreement. Where a change is material, we will tell you in the Application and give you the opportunity to review it before it takes effect. A change does not affect an arbitration opt-out you have already made under 20.7.
21.3 Assignment. You may not assign or transfer this Agreement or any rights under it. We may assign it in connection with a merger, acquisition, or sale of assets, or to an affiliate, on notice to you.
21.4 Notices. We give you notice in the Application. You may give us notice at the address in Appendix A, item 8.
21.5 Severability and waiver. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remainder continues in effect. Our failure to enforce a right is not a waiver of it.
21.6 Force majeure. Neither of us is liable for a failure to perform caused by circumstances beyond reasonable control, except for payment obligations.
21.7 No third-party beneficiaries, except as stated in Appendix A, item 10.
Apple requires that a developer-supplied EULA include the terms below. They form part of this Agreement.
1. Acknowledgment. You and we acknowledge that this Agreement is concluded between you and us only, and not with Apple, and that we, not Apple, are solely responsible for the Application and its content. This Agreement does not provide for usage rules for the Application that conflict with the App Store Terms of Service as of the date you entered into this Agreement, and you acknowledge that you have had the opportunity to review those terms.
2. Scope of License. The license granted to you is limited to a non-transferable license to use the Application on any Apple-branded product that you own or control, and as permitted by the Usage Rules in the App Store Terms of Service, except that the Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
3. Maintenance and Support. We are solely responsible for providing any maintenance and support services for the Application, as specified in this Agreement or as required under applicable law. You and we acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services for the Application.
4. Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
5. Product Claims. You and we acknowledge that we, not Apple, are responsible for addressing any claims relating to the Application or your possession and use of it, including but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit our liability to you beyond what is permitted by applicable law.
6. Intellectual Property Rights. You and we acknowledge that, in the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
7. Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer Name and Address. Any questions, complaints, or claims with respect to the Application should be directed to:

9. Third Party Terms of Agreement. You must comply with applicable third-party terms of agreement when using the Application. This includes, without limitation, the terms of any calendar, email, or identity provider you connect to the Application.
10. Third Party Beneficiary. You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of it.
